CONSOR’s Senior Economist, Fernando Torres MSc, participated in the panel discussing the topic “Defending and Enforcing Your Technology” along with experienced IP litigators and professionals from prominent high-tech companies in Southern California. Mr. Torres discussed the current economic conditions and how they have changed optimal behavior for emerging companies which rely on patents and other intellectual property to succeed. His discussion included the latest data on non-practicing entity litigation (the so-called “patent trolls”) and the ongoing legislative Patent Law reforms moving through Congress, particularly proposed changes to infringement damages calculations.

Through this presentation, Weston Anson identifies often-overlooked IP and intangible assets and explores the critical issues in valuation and monetization. Special attention is paid to disposition methods, including different auction scenarios.

Brand Values and Valuation in Current Economic Downturn

Held in Chicago this year, the annual IP Business Congress focused on the issues raised by the current economic downturn and how it affects intellectual property. In particular, Weston Anson, Chairman of CONSOR, gave a presentation on “brand and IP values and valuation in the current economic downturn.” With tangible asset values declining rapidly -- particularly real estate -- most organizations are increasingly turning to their IP to seek value. Some of the specific trends that Anson notes were the following:

  • Increasingly, IP assets are used as a financing vehicle
  • Mergers and strategic alliances are increasingly using IP as an asset base
  • More corporations are leveraging their IP rights, not just their obvious brands and patent portfolio
  • Interestingly, unused brand value is being leveraged as a source of working capital, either via licensing, co-branding or other strategies
  • Financial reorganization is impacting brand values and other IP values across the board

The 2009 Intellectual Property Spring Seminar presented by the Intellectual Property Law Section of the State Bar of Michigan in cooperation with the Institute of Continuing Legal Education offered attendees the opportunity to learn about the most recent intellectual property issues from nationally renowned experts. In his presentation, entitled Maximizing the Value of Corporate IP: Licensing and Beyond, featured speaker Weston Anson offered valuable insights into:

  • Knowing where maximum strategic and realizable value is to be found in the asset portfolio
  • Establishing a realistic current market value for the assets
  • Understanding how to extract maximum value from the assets
  • Selecting the best possible intellectual property/intangible asset strategy for the situation
  • Managing the process


Sale and Disposition of Troubled Assets in Bankruptcy
American Bankruptcy Institute, 14th Annual Rocky Mountain Bankruptcy Conference

When sales of assets take place under section 365 of the bankruptcy code, interesting things can result: For example, how does one deal with unexpired leases on non-residential property? What about technology licensing issues? More importantly, what about the other intangible assets and intellectual property found during a sale in bankruptcy? This 90 minute program covers all four of these areas with an emphasis on the intangible assets and IP portion. Case studies are stressed, such as the recent sale of Tower Records and its real estate and intangible assets, including its databases, Internet retail sales platform, trademarks, licenses, and international franchises. We also discuss the sale of the Collins & Aikman assets in both Europe and the United States, and the patents, technology, and trade secrets that were successfully sold. Finally we cover a company currently in liquidation, Dan River Mills, that holds both real estate and multiple elements of intellectual property ranging from copyrighted materials to multiple trademark licenses and proprietary manufacturing patents.
